EWUA cannot and will not be taken private.

Regardless of how the recall vote turns out, EWUA cannot and will not be taken private.

EWUA is currently a private, nonprofit, member-owned cooperative.

Nonprofits cannot be sold to for-profit individuals or corporations.  Google it.

Do any of the people seeking to recall the dominant Board faction want to own EWUA?

No.

Even if anyone wanted to own EWUA (Steve and Jennifer Smith do not want to own or control EWUA), it cannot be sold to a for-profit corporation or individual.

Was there ever any discussion about privatizing EWUA?

Yes, by the entire Board at the time.

The discussion was about making EWUA an employee-owned entity in order to encourage employee retention. Employee-owned corporations are called ESOPs.

The discussion happened in 2021. Multiple Board members talked about the idea. The discussion lasted about two weeks. Research was done on the idea and dropped because it could not be done. I was fine with that.

See emails between Joe Cohen and Steve Smith.

Why are there nearly daily EWUA publications saying Steve Smith wants to take EWUA private?

Because those being recalled are desperate to divert attention from their failures. They do not want you to look at the forensic report or the letter from the forensic investigator. You don’t want EWUA converted into someone’s private corporation, but have you taken the time to read about why it isn’t even possible? Just visit with us about it.

A lie often succeeds where there is a lack of information or a resistance to it.

Repeat the lie often enough, and it will be believed.

The dominant Board faction and their supporters are counting on the members being ignorant fools.  We don’t think you are.
